These Terms and Conditions (“Terms”) govern your use of White Circle Agency (“we”, “us”, “our”) advertising and media-buying platform (“Platform”) and related services (“Services”). By registering or using our Services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Scope of Service & Plans

1. We grant a limited, revocable, non-exclusive license to use the Platform and Services based on your selected Plan.
   
   

2. Plan features—such as ad spend limits, pricing, and available tools—are determined at registration and form part of these Terms.
   
   

3. We reserve the right to modify, enhance, or discontinue any feature or Plan, with or without notice.

2. Registration & Account

1. You must register for a Customer Account and provide accurate information.

2. You are responsible for maintaining the security of your account credentials.

3. We may require additional documentation for identity verification and compliance.

4. You are responsible for providing and maintaining your own Business Manager or media platform credentials. We may introduce third-party providers, but liability lies with you.

3. Acceptable Use & Prohibited Content

1. You agree not to:

   • Compromise the Platform’s security or infrastructure.

   • Reverse-engineer, sublicense, or otherwise misuse the Platform.

   • Upload harmful code or violate any applicable laws, media platform policies, or copyright rules.
     
     

2. All ad campaigns and content must comply with relevant laws and the policies of platforms like Meta and TikTok.
   
   

3. Prohibited Content includes, but is not limited to:

   • Illegal or dangerous products/services

   • Adult, violent, gambling, tobacco, alcohol, or weapons-related content

   • Discriminatory content or violation of intellectual property

   • Financial, cannabis, and restricted political or regulated content
     
     

4. Violation of these rules may result in immediate service suspension or account termination.

4. Fees & Subscription

1. You’ll pay fees according to your chosen Plan (subscription, retainer, or usage-based).

2. All fees are non-cancellable and non-refundable.

3. Fees are exclusive of taxes; payment will be charged automatically until cancellation or termination.

4. We may update pricing for future billing cycles, and late payments incur 1.5% monthly interest.

5. Ad Spend & Top-Ups

1. You must maintain sufficient balance in your Business Manager or media ad accounts—you are responsible for top-ups.

2. We may optionally pre-fund ad accounts (“Top-Up Service”) under specific Plans. If we do, you must reimburse us promptly.

3. Lack of funds may result in campaign pauses or disruptions.

6. Warranties & Liability

1. We provide the Platform “as is” and disclaim all warranties, express or implied.

2. We are not responsible for third-party interruptions, losses, or damages arising from Platform use.

3. Our total liability is limited to the total amount you have paid us in the three months preceding any claim.

7. Confidentiality

1. Confidential Information exchanged by either party must be kept secret and only used for performance of the Services.

2. Obligations extend during the term and for 3 years after termination, except for public or independently developed information.

8. Amendments

We reserve the right to revise these Terms at any time. We’ll update the effective date accordingly, and your continued use post-change constitutes consent.
